Terms of Service

Effective date: April 12, 2026

1. Introduction and Acceptance

Welcome to Gloseva ("we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the Gloseva platform, website (https://gloseva.com), APIs, tools, and all related services (collectively, the "Service"). By creating an account, accessing, or using the Service in any way, you ("you" or "Customer") agree to be bound by these Terms and all policies incorporated by reference, including our Privacy Policy, Refund Policy, and Cookie Policy.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, and "you" refers to such entity.

If you do not agree to these Terms, do not use the Service.

2. Definitions

  • "Agent" — an AI-powered conversational agent you build using the Service.
  • "Credits" — the unit of consumption on the platform that measures usage of text interactions, voice minutes, and LLM inference.
  • "Customer Data" — any data, content, or materials you upload, submit, or transmit through the Service.
  • "LLM" — large language model, the underlying AI model used by your Agents.
  • "Paddle" — our Merchant of Record for payment processing (see Section 4).
  • "Subscription" — a recurring plan providing a monthly credit allocation and feature access.

3. Service Description

Gloseva is a cloud-based platform that enables you to create, configure, deploy, and manage AI-powered agents across text and voice channels. The Service includes a dashboard, APIs, integrations, analytics, and related tools.

We reserve the right to modify, update, or discontinue features of the Service at any time. We will make reasonable efforts to notify you of material changes. Continued use of the Service after such changes constitutes acceptance.

4. Paddle — Merchant of Record

All payments for the Service are processed by Paddle.com Market Limited (for customers outside the United States) or Paddle.com Inc. (for customers in the United States), collectively referred to as "Paddle." Paddle acts as our Merchant of Record, meaning Paddle is the legal seller of record for all purchases made through the Service.

As Merchant of Record, Paddle is responsible for:

  • Processing all payment transactions securely
  • Issuing invoices and receipts to you
  • Collecting and remitting applicable sales tax, VAT, and other transaction taxes
  • Handling chargebacks and payment disputes
  • Processing approved refunds to your original payment method

By making a purchase through the Service, you also agree to Paddle's Terms of Use and Privacy Policy. In the event of a conflict between these Terms and Paddle's terms regarding payment processing, Paddle's terms shall govern with respect to payment-specific matters.

5. Account Registration

To use the Service, you must register an account. You agree to provide accurate, current, and complete registration information, and to keep it updated. You are solely responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately at info@gloseva.com if you suspect unauthorized access.

We reserve the right to suspend or terminate accounts that violate these Terms, contain false information, or remain inactive for an extended period, upon reasonable notice where practicable.

6. Subscription Plans, Billing, and Credits

6.1 Plans. We offer multiple subscription tiers (Free, Starter, Pro, Business, Scale, Ultra, and Enterprise), each providing a monthly credit allocation and feature set as described on our Pricing page. Plan details, credit allocations, and pricing are subject to change; we will provide at least 30 days' notice before any price increase takes effect on your next billing cycle.

6.2 Billing. Paid subscriptions are billed in advance on a monthly or annual basis through Paddle. All prices are in United States Dollars (USD) unless otherwise indicated. Applicable taxes are calculated and collected by Paddle based on your location.

6.3 Credits. Credits are consumed when your Agents process interactions. Text interactions consume 1 credit per message plus the LLM inference cost. Voice interactions consume 35 credits per minute for the voice engine plus the LLM inference cost per minute. Unused credits do not roll over to subsequent billing periods unless otherwise stated in your plan.

6.4 Auto-Renewal. Paid subscriptions automatically renew at the end of each billing period at the then-current rate, unless you cancel before the renewal date. You may cancel at any time through the customer portal (powered by Paddle) or by contacting us.

6.5 Bring Your Own API Keys. You may configure the Service to use your own third-party LLM API keys. In this case, only the platform credit cost applies (1 credit per text message, 35 credits per voice minute); the LLM provider bills you directly under their own terms. We are not responsible for charges from third-party providers.

6.6 Enterprise. Enterprise plans may include custom pricing, service level agreements, and terms negotiated separately. In the event of a conflict, the Enterprise agreement shall prevail over these Terms.

7. Cancellation and Refunds

7.1 Cancellation. You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. You retain access to paid features until the period ends, after which your account reverts to the Free plan.

7.2 Refunds. Refunds are governed by our Refund Policy. In the event of any conflict between this section and the Refund Policy, the Refund Policy shall prevail. All approved refunds are processed by Paddle to your original payment method.

7.3 EU/UK/EEA Consumers. If you are a consumer in the European Union, United Kingdom, or European Economic Area, you may have a statutory right of withdrawal within 14 days of purchase. If you have actively used the Service during the withdrawal period, a proportionate charge may apply. Your statutory rights are not affected by these Terms.

8. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights
  • Transmit malicious code, malware, or engage in any form of cyberattack
  • Generate, distribute, or facilitate illegal content, hate speech, harassment, or fraud
  • Impersonate any person or entity, or misrepresent your affiliation
  • Attempt to reverse-engineer, decompile, or gain unauthorized access to the Service or its infrastructure
  • Use the Service to build a competing product or service
  • Circumvent usage limits, credit systems, or security measures
  • Send unsolicited bulk communications (spam) through Agents
  • Use Agents for regulated activities (medical, legal, financial advice) without appropriate human oversight and disclaimers

Violation of this section may result in immediate suspension or termination of your account without notice.

9. Intellectual Property

9.1 Our IP. The Service, including all software, design, documentation, trademarks, and proprietary technology, is owned by Gloseva and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.

9.2 Your Content. You retain all rights to Customer Data you submit through the Service. By submitting Customer Data, you grant us a limited license to process, store, and transmit it solely to provide and improve the Service.

9.3 Feedback. If you provide suggestions, ideas, or feedback about the Service, you grant us an unrestricted, irrevocable, royalty-free license to use and incorporate such feedback without obligation to you.

10. Data Handling, Privacy, and Security

10.1 Our collection and use of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference.

10.2 We implement industry-standard technical and organizational security measures to protect Customer Data. However, no system is perfectly secure; you acknowledge the inherent risks of transmitting data over the internet.

10.3 We do not use Customer Data to train our own AI models without your explicit consent. Customer Data processed by third-party LLM providers is subject to those providers' terms and data handling policies.

10.4 If we become aware of a data breach that affects your personal data, we will notify you and the relevant supervisory authorities in accordance with applicable law.

11. Third-Party Services and Integrations

The Service integrates with third-party services (LLM providers, communication platforms, analytics tools, etc.). These are governed by their own terms and privacy policies. We do not control and are not responsible for third-party services. Your use of integrations is at your own risk.

12. AI-Specific Terms and Disclaimers

12.1 Probabilistic Outputs. AI models generate outputs probabilistically. Outputs may be inaccurate, incomplete, biased, or inappropriate. You are solely responsible for reviewing, validating, and supervising all AI-generated content before relying on or distributing it.

12.2 No Professional Advice. AI outputs do not constitute professional, medical, legal, financial, or any other regulated advice. Users in regulated industries must implement appropriate human oversight and disclaimers.

12.3 Model Changes. We may update, replace, or discontinue specific AI models available on the platform. We will make reasonable efforts to notify you of material model changes.

12.4 Compliance Responsibility. You are responsible for ensuring your use of AI Agents complies with all applicable laws and regulations, including those governing automated decision-making, consumer protection, and data protection.

13. Indemnification

You agree to indemnify, defend, and hold harmless Gloseva, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; (d) Customer Data you submit; or (e) the actions or outputs of Agents you create and deploy.

This indemnification obligation survives termination of these Terms and your account. Where prohibited by applicable law, this section shall apply to the maximum extent permitted.

14. Limitation of Liability

14.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GLOSEVA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

14.2 OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER OR RELATED TO THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU PAID TO US (THROUGH PADDLE) IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (USD $100).

14.3 The limitations in this section do not apply to liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.

15. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS.

Nothing in these Terms excludes or limits warranties that cannot be excluded or limited under applicable law. If you are a consumer in the EU/UK/EEA, you have statutory warranty rights that are not affected by this section.

16. Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond the reasonable control of that party, including but not limited to: natural disasters, pandemics, war, terrorism, government actions, power or internet outages, third-party infrastructure failures, or cyberattacks. If a force majeure event continues for more than sixty (60) days, either party may terminate the affected obligations upon written notice.

17. Governing Law and Dispute Resolution

17.1 Governing Law. These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law principles.

17.2 Informal Resolution. Before filing any formal claim, you agree to contact us at info@gloseva.com and attempt to resolve the dispute informally for at least thirty (30) days.

17.3 Arbitration. If the dispute cannot be resolved informally, either party may submit the dispute to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in English, by a single arbitrator, and the seat of arbitration shall be Wilmington, Delaware, USA. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

17.4 Class Action Waiver. TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND GLOSEVA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

17.5 Exceptions. Either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent infringement of intellectual property rights. Nothing in this section limits your right to bring claims before a consumer protection authority.

17.6 EU/UK/EEA Consumers. If you are a consumer residing in the EU, UK, or EEA, mandatory consumer protection laws of your jurisdiction apply. You may bring proceedings in the courts of your country of residence. The European Commission's Online Dispute Resolution platform is available at https://ec.europa.eu/consumers/odr.

18. Export Compliance

The Service may be subject to export control laws and economic sanctions regulations, including those of the United States, the European Union, and the United Kingdom. You agree not to access or use the Service from a sanctioned country or in violation of any applicable export control laws. You represent that you are not on any government restricted party list.

19. Support and Communications

Support is available in accordance with your subscription plan. We may communicate with you via email, in-app notifications, or the dashboard. By using the Service, you consent to receiving electronic communications from us related to your account and the Service. You may opt out of non-essential marketing communications at any time.

20. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes at least thirty (30) days before they take effect, via email or a prominent notice on the Service. Your continued use of the Service after the updated Terms take effect constitutes acceptance. If you do not agree to the updated Terms, you must stop using the Service and may cancel your subscription.

21. Assignment

You may not assign or transfer these Terms or any rights hereunder without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of substantially all of our assets, upon notice to you. Any purported assignment in violation of this section is void.

22. Severability and Survival

If any provision of these Terms is held to be unenforceable or invalid, such provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force. Sections that by their nature should survive termination (including indemnification, limitation of liability, intellectual property, and dispute resolution) shall survive.

23. Entire Agreement

These Terms, together with the Privacy Policy, Refund Policy, Cookie Policy, and any separate Enterprise agreement, constitute the entire agreement between you and Gloseva regarding the Service. These Terms supersede all prior agreements, communications, and understandings relating to the subject matter hereof.
